$100 Bill Terms and Conditions

Description of the Promotion

The ( pause ) $100 Bill Promotion (the “Promotion”) is sponsored and administered by Pause Technologies Inc (the “Sponsor”), located at 30 N Gould St Ste N, Sheridan, WY 82801. The terms “you” or “your” mean the customer who places a Qualifying Order (as defined below). Receipt of a Prize (as defined below) is expressly conditioned upon acceptance of and compliance with these Official Terms.

The Promotion will begin on [START DATE] at 12:00 a.m. ET and conclude on [END DATE] at 11:59 p.m. ET (the “Promotion Period”).

Eligibility

The Promotion is open only to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of purchase. Employees, officers and directors of the Sponsor, its affiliates, advertising and promotion agencies, retailers, distributors, and each of their immediate family members and/or those living in the same household (whether legally related or not) are not eligible to receive a Prize.

The Promotion is subject to all federal, state and local laws and regulations and is void wherever restricted or prohibited by law. Placing a Qualifying Order during the Promotion Period and/or accepting a Prize constitutes your full and unconditional agreement to these Official Terms and the Sponsor’s decisions, which are final and binding in all matters related to this Promotion.

How to Participate

A purchase is necessary to participate. To participate, place an order for a ( pause ) Screen Timer at pauseyourphone.com during the Promotion Period (a “Qualifying Order”). Every Qualifying Order is automatically included in the Promotion. There is nothing to enter, claim or redeem, and no other way to participate.

Approximately one (1) in every one hundred (100) Qualifying Orders will be randomly packaged with one (1) genuine $100 U.S. bill. Not every order will receive a Prize. Each Qualifying Order can receive no more than one (1) Prize, regardless of the number of items in the order.

Orders that are cancelled, or refunded before they ship, are not Qualifying Orders. Any attempt to manipulate the Promotion, including by placing orders under multiple or false identities, may result in disqualification and cancellation of the affected orders.

This Promotion is not endorsed, sponsored, or administered by Facebook, Instagram, TikTok, or Apple, and you hereby release each of those parties from any and all liability in connection herewith.

Prizes & Odds

The Prize consists of one (1) genuine $100 U.S. bill. A total of up to [NUMBER OF PRIZES] Prizes are available during the Promotion Period. The value of each Prize is $100 USD. The total value of all available Prizes is [TOTAL PRIZE VALUE] USD.

The odds of receiving a Prize are approximately one (1) in one hundred (100) Qualifying Orders. Prizes are limited and will be awarded while supplies last. No more than the number of Prizes set forth in these Official Terms will be awarded. Prizes are not transferable.

How Prizes Are Awarded

Prizes are awarded at random. Approximately one (1) out of every one hundred (100) Qualifying Orders will be randomly selected at the time of packing, and the Prize will be placed inside that order’s ( pause ) package and delivered to the shipping address provided at checkout. Customers who receive a Prize will not be notified separately; the Prize arrives in the package.

Timing of delivery will vary. If a package containing a Prize is returned as “undeliverable,” refused, or lost in transit, the Prize is forfeited and the Sponsor has no further obligation with respect to it. If an order that contained a Prize is returned for a refund, the Prize must be included in the return.

Taxes

All federal, state, and local taxes (if any) on the Prize are the sole responsibility of the recipient, including without limitation the reporting consequences thereof. If the total value of Prizes you receive in a calendar year equals or exceeds $600, ( pause ) may require a completed W-9 and may issue an IRS Form 1099.

Privacy

Information collected in connection with Qualifying Orders will only be used to fulfil orders and administer the Promotion in accordance with our Privacy Policy, located at pauseyourphone.com/pages/privacy-policy.

Additional Terms

Administration

The Sponsor expressly reserves the right to amend, suspend or terminate this Promotion at any time for any reason without prior notice or consent. Administration of this Promotion is at the sole discretion of the Sponsor. Any questions relating to eligibility, these Official Terms or any other questions concerning this Promotion will be resolved at the sole discretion of the Sponsor and its decisions will be final and binding.

General Conditions

Should any portion of the Promotion be, in the Sponsor’s sole discretion, compromised by fraud, technical failures, non-authorized human intervention or other causes which corrupt or impair the administration, security or fairness of the Promotion, the Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion. The Sponsor reserves the right to disqualify any individual it finds to be tampering with the operation of the Promotion or acting in violation of these Official Terms.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. THE SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL TERMS SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

Release and Waiver of Liability

By participating in this Promotion, you agree to release, defend, indemnify and hold harmless the Sponsor, and any of its respective affiliates, parents, partners, advertising and promotion agencies, retailers, suppliers, distributors, and each of their respective officers, directors, employees, shareholders, representatives and agents (collectively, the “Released Parties”) from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with: (i) your participation in the Promotion; and (ii) the receipt, use or misuse of the Prize.

Publicity

Except where prohibited by law, if you choose to share your Prize story with the Sponsor, you agree that the Sponsor may use your first name, last initial, city and state, likeness and statements about the Promotion in advertising and publicity, without further compensation.

Governing Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Terms or the rights and obligations of participants and the Sponsor in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of [STATE], without giving effect to any choice of law or conflict of law rules.

Dispute Resolution

You agree that any claim or dispute that has arisen or may arise relating in any way to or arising out of the Promotion, or these Official Terms, will be resolved individually, without resort to any form of class action and exclusively by final and binding arbitration in accordance with the Federal Arbitration Act (“FAA”, Title 9 of the United States Code) under the auspices of the American Arbitration Association; and judgment upon such arbitration award may be entered in any court having jurisdiction. Any opt-out received after the thirty (30) day period will be invalid. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, if any, and in no event shall you be entitled to receive attorney’s fees or other legal costs or expenses. If you opt out, any and all disputes shall be resolved individually, without resort to any form of class action, and exclusively by a federal or state court located in [COUNTY, STATE].

Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SPONSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO THE PROMOTION, EVEN IF FORESEEABLE OR EVEN IF THE SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous

No waiver of any of the provisions of these Official Terms shall be deemed or shall constitute a waiver of any other provisions hereof. If any provision of these Official Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Official Terms, which will otherwise remain in full force and effect.
